How to Form an LLC in Alaska

Forming a Limited Liability Company in Alaska is relatively easy.  This article should give you resources to understand how the process works in Alaska, and to use the legal forms from the Alaska Secretary of State to form an LLC in Alaska.

 

Alaska offers two convenient ways to form an LLC, a standard and online method.

 

The standard filing method begins with searching the availability of the legal name of the corporation. To do this you must visit corporations section of the Alaska Department of Commerce Web site (https://myalaska.state.ak.us/business/) to establish if the name is available. Business names can easily be reserved with a simple form 08-0580 (Rev. 09/05) (http://www.commerce.state.ak.us/occ/pub/08-580.pdf) with a $25 dollar fee. The name will be reserved for 120 days.

 

Once that is completed, you will fill out form 08-430 (Rev. 03/05/10) available on the Web site (http://www.commerce.state.ak.us/occ/pub_corp/08-430.pdf). The form can be filled out directly through the internet, or you can print it out and fill it out by hand.  When finished, you will then mail pages 1-3 and the $250 filing fee to:

Online filing is available through the Web site as well (https://myalaska.state.ak.us/business/online/llc/Default.aspx?XID=b0ef20...). A step-by-step form is presented in a simple format on their Web site, taking all of the required information and submitting it to the State of Alaska. You will receive your Certificate of Organization that can be printed out immediately.

 

As with other states, Alaska requires you to file an annual report. The annual report must be received by January 2nd every two years from when you form your company. The filing fee is $100.
