How to Form an LLC in Pennsylvania

Forming a Limited Liability Company in Pennsylvania is relatively easy.  This article should give you resources to understand how the process works in Pennsylvania, and to use the legal forms from the Pennsylvania Secretary of State to form an LLC in Pennsylvania.

Though not required, it is advised that you check your corporate name for availability before filing any applications. To check name availability you can call (717) 787-1057, and a customer service representative can check the availability of three entity names per call. If you choose to do so, you can reserve your name for $70. The form is available on the Name Availabilities Web site under Name Reservations.

Once your company name is established, you can begin filling out your Certificate of Organization, Domestic Limited Liability Company. Forms are available on the Forms page under Domestic Limited Liability Partnership/Limited Liability Company. The filing fee is $125 dollars, and both form and fee can be mailed to: Department of State, Corporation Bureau, P.O. Box 8722, Harrisburg, PA 17105-8722. A docketing statement must also be submitted with your Articles of Incorporation. The docketing statement is also available for download under the Docketing Statements section of the forms page.

Annual Reports are due before April 15th of each year. A Certificate of Annual Registration and annual registration fee must be submitted by that date.
