How to Form an LLC in Connecticut

Forming a Limited Liability Company in Connecticut is relatively easy.  This article should give you resources to understand how the process works in Connecticut, and to use the legal forms from the Connecticut Secretary of State to form an LLC in Connecticut.

 

Your first step should be to check company name availability. In order to do so, you can visit the Commercial Recording Division Web site and search company names. While not required, it is advised that you reserve your company name before filing any paperwork. To do this you will need to fill out form CNR-1-1.0. The filing fee is $60 and your company name will be reserved for a period of 120 days. Checks should be payable to Secretary of the State, and both form and fees can be mailed to: Commercial Recording Division, Connecticut Secretary of the State, P.O. Box 150470 Hartford, CT 06115-0470.


The next step is to file the Articles of Organization with the Secretary of State of Connecticut. Form LC-1-1.0 is available on the Web site in PDF format. The $120 filing fee, and form can be mailed to the same address mentioned above.


Connecticut offers an expedite service for documents being filed. For 24-hour turn around from the time of receipt, you can submit your documents with form EXP-1-1.0 plus an additional $50 fee per document being filed to the same address listed above. 

Annual reports may be filed annual or biennially as per the regulations, and should be submitted by the date appearing on the report form.
