Your first step should be to check company name availability. To do this, you can visit the Commercial Recording Division website and search company names. While it is not required, it is advised that you reserve your company name before filing any paperwork. To do this, you will need to fill out form CNR-1-1.0. The filing fee is $60, and your company name will be reserved for a period of 120 days. Checks should be made payable to the Secretary of the State, and both the form and the fees can be mailed to:

The next step is to file the Articles of Incorporation with the Secretary of State of Connecticut. Form CIS-1-1.0 is available on the website in PDF format. The $250 filing fee and form can be mailed to the same address mentioned above.


Connecticut offers an expedited service for documents being filed. For a 24-hour turn around from the time of receipt, you can submit your documents with the form EXP-1-1.0, plus an additional $50 fee per document being filed to the aforementioned address.  Afterwards, the corporation has to file a report with the Secretary of State within 30 days of its first organization meeting.

Annual reports may be filed annual or biennially, as per the regulations, and should be submitted by the date that appears on the report form.
