How to Form an LLC in Kentucky

Forming a Limited Liability Company in Kentucky is relatively easy.  This article should give you resources to understand how the process works in Kentucky, and to use the legal forms from the Kentucky Secretary of State to form an LLC in Kentucky.


While not required, it is advised that you reserve your business name before submitting any organization forms. To do this in Kentucky, you can research existing registered names through the Kentucky Secretary of State Name Availability Search Web site (http://apps.sos.ky.gov/business/obdb/%28S%28ekk01svv3o4rwa55bc5zfx45%29%29/nameavail.aspx). Once you have confirmed your name is available, you can fill out the Reservation or Renewal of Reserved Name form (http://www.sos.ky.gov/NR/rdonlyres/D8B95185-973D-4E50-94C3-26C88CD9EFC9/0/ARNReservationorRenewalofReservedName.pdf). The filing fee is $15.00, checks should be made payable to the “Kentucky State Treasurer.”  The application and the fee can be mailed to: Trey Grayson, Office of the Secretary of State, P.O. Box 718, Frankfort, KY 40602-0718. Once your name reservation has been approved, it will be reserved for a period of 120 days.

 

After your company’s name has been establish, you may begin the process of filing your Articles of Organization, Limited Liability Company application (http://www.sos.ky.gov/NR/rdonlyres/50E8E38F-40BA-4636-A6F1-89B47E3F5DDA/...). The filing fee is $40.00. The fee, and the application can be mailed to: Trey Grayson, Office of the Secretary of State, P.O. Box 718, Frankfort, KY 40602-0718. Documents are processed the same day they are received, but it may take up to three business days to complete.
