How to Form an LLC in Louisiana

Forming a Limited Liability Company in Louisiana is relatively easy.  This article should give you resources to understand how the process works in Louisiana, and to use the legal forms from the Louisiana Secretary of State to form an LLC in Louisiana.

In Louisiana, corporate names must be checked for availability. A preliminary check may be made by phone at (225) 925-4704, though they are preliminary checks only and should not be relied upon to hold your name. Once the preliminary check is complete, you can fill out form SS398 Re. 03/08, Reservation of Corporate/Limited Liability Company Name (http://www.sos.louisiana.gov/Portals/0/398NameReservationCorporationandL...).
Names can be reserved for 60 days by filing an application and submitting the $25 filing fee. The application and fee can be sent to: Commercial Division, P.O. Box 94125, Baton Rouge, LA 70804-9125. Two 30 day extensions can be granted at no additional charge, though you will have to submit a written request to the Secretary of State’s office before the expiration of the current name reservation.

After your company name has been established, you can now begin the process of filing your Articles of Organization. Louisiana offers a variety of ways in which to do so. You can begin your filing online by visiting the online filing Web site (http://www.sos.louisiana.gov/tabid/903/Default.aspx), where you will go through an easy step-by-step process to file your articles of organization digitally.

You can also mail in your articles of organization.

To do this you you must fill out Form SS365 Rev. 03/08 Articles of Organization (http://www.sos.louisiana.gov/Portals/0/365ArticlesofOrganizationLouisian...) and Form SS973 Rev. 03/08, Limited Liability Company Initial Report, which is included in the form packet above. Please keep in mind, the Articles of Organization will not be accepted for filing unless the Initial Report Form is also filed. The filing fee is $75 (checks should be made payable to the Secretary of State), but an additional $30 can be added for Expedited Processing (24 hours). The forms and fee can be mailed to: Commercial Division, P.O. Box 94125, Baton Rouge, LA 70804-9125.

Louisiana also offers fax filing. The original document must comply with the appropriate statues. A cover sheet or letter must be included containing all the necessary information for the primary contact person, as well as any credit card information for payment of the filing fee. Your documents can be faxed to (225) 922-0435.

Annual reports can be printed online via the Web site. You simply search your business name, click the name of your business and the information will appear. If the annual report is due to be filed (up to four week prior to the due date) there will be an active link that states “Print Annual Report Form for Filing.” This form can be completed and mailed to the Secretary of State’s Office.
