How to Form an LLC in Montana

Forming a Limited Liability Company in Montana is relatively easy.  This article should give you resources to understand how the process works in Montana, and to use the legal forms from the Montana Secretary of State to form an LLC in Montana.

Though not required, it is advised that you check your corporate name for availability before filing any applications. To do so, you can visit the Montana Secretary of State Business Entity Search page and search for your business name. A reservation of a business name is only needed if you need additional time to file your required paperwork. Once you reserve a business name, it is valid for 120 days. To do so you can fill out the Reservation of Name Application and send your $10 filing fee and the application to: Linda McCulloch, Secretary of State, P.O. Box 202801, Helena, MT 59620-2801.

Once your company name is established, you can begin filling out your Articles of Organization for Domestic Limited Liability Company. The filing fee is $70. There are optional expedited fees, an additional $20 for 24-hour processing, or $100 for 1-hour processing. Your form and fees can be mailed to the same address listed above.

Annual reports are due each year by April 15 and must include the $15 filing fee. The reports can be conveniently filed online through the Business Entity Annual Report page. You will be prompted to provide either your Folder ID Number or your Business Name before you can begin processing your report.
