A mutual non-disclosure agreement (or "NDA") is a form to bind two parties to keep each other's business information confidential.  This agreement would be used when both parties in a negotiation are disclosing confidential information to the other party.  If you have any trade secrets, you need to have something like this signed whenever you disclose it to a third-party.  If you are disclosing information, but the other party is not, then a "one way NDA" can be used, which you'll also find on the FreeLegalAid site if you look hard enough.

This Nondisclosure and Nonuse Agreement (“Agreement”) is entered into by and between ABC Company Inc. a _______________________corporation with its principle place of business located at _______________________ (“ABC Company”) and Xyz company Inc., a _______________________corporation with its principal place of business located at_______________________, ____________ (“the Company”) as of the date set forth above the parties’ signatures (the “Effective Date”).

 

Preliminary Statement

 

ABC Company and the Company wish to exchange certain business and other information in the course of discussions regarding                                              (the “Purpose”).  In consideration for the parties’ discussions and any access that each party (referred to as a “Receiving Party”) has to the confidential and proprietary information of the other party (referred to as a “Disclosing Party”), each Receiving Party hereby agrees as follows:
