How to Incorporate in Alaska

Incorporating in Alaska is relatively easy.  This article will provide you with resources to understand how the incorporation process works in Alaska as well as with the legal forms from the Alaska Secretary of State that you will need to incorporate in Alaska. Alaska conveniently offers two ways to incorporate - the standard filing method along with an online filing method.


The standard filing method begins with searching the availability of the legal name of the corporation. In order to do this, you must visit the corporations section of the Alaska Department of Commerce website to ascertain whether or not the name is available. Business names can easily be reserved with the simple form 08-0580 (Rev. 09/05) and a $25 dollar fee. The name will be reserved for 120 days.


Once that has been completed, you will fill out form
08-400 (Rev. 02/24/10), which is available here. This form can be filled out directly on the internet, or you can print it and fill it out by hand.  When finished, you will then mail pages 1-3 and the $250 filing fee to:

Standard filing time is typically two to tree weeks.


Online filing is available here as well. A step-by-step form is presented in a simple format on this website and takes all of the required information and submits it to the State of Alaska. You will then receive your Certificate of Incorporation, which can be printed out immediately.


As with other states, Alaska requires you to file an annual report. The annual report must be received by January 2nd every two years from when you form your company. The filing fee is $100.
