Though not required, it is advised that you check your corporate name for availability before filing any applications. To do this you can conduct a name search at: http://www2.dleg.state.mi.us/CORPORATIONS/htmldb/f?p=210:1:1579838870846050155. Once you find out if the name is available, you can submit an Application for Reservation of Name, Form BSC/CD-540. The fee to reserve your name is $10. The name is reserved for either four to six months, or until your documents are submitted with your reserved name. You can submit the form with the fee to: Michigan Department of Energy, Labor & Economic Growth, Bureau of Commercial Services, Corporation Division, P.O. Box 30054, Lansing, MI 48909.

Once your company name has been reserved, you can begin filing your Articles of Incorporation (http://www.dleg.state.mi.us/bcsc/forms/corp/corp/500.pdf). The organization fee is based on authorized shares (the chart is available on the the Articles of Incorporation form), in addition you will pay a nonrefundable fee of $10. Once your Articles of Incorporation have been filled out, you can submit the forms and the fee to: Michigan Department of Energy, Labor & Economic Growth, Bureau of Commercial Services, corporation Division, P.O. Box 30054, Lansing, MI 48909.

Michigan does offer Expedited Services (http://www.dleg.state.mi.us/bcsc/forms/corp/corp/272.pdf). They offer a breakdown of Services Levels and Fees based on the turnaround time requested. Prices can range from $50 - $1,000.

Annual reports can be filed online using Michigan’s FILEOnline System. Profit corporations’ annual reports are due May 15 after the year of incorporation. The minimum fee is $25.
