Forming a Limited Liability Company in North Dakota is relatively easy. This article should give you resources to understand how the process works in North Dakota, and to use the legal forms from the North Dakota Secretary of State to form an LLC in North Dakota.
It is advised that you first check the availability of your corporate name before filing any documents. To do this you can visit the Business Records Search page on the Secretary of State Web site. If the name is available you can submit a Reserve Name Application. To reserve your name for a period of 12 months, the filing fee is $10. If you choose to fax your documents, you must include a Credit Car Payment Authorization sheet with your forms, and this packet can be faxed to (701) 328-2992.
After your company name has been established, you can begin your incorporation by filling out the North Dakota Business or Farming Limited Liability Company Articles of Organization form. Comprehensive instructions are included in the packet on how to fill out the form. Once the form is filled out you can mail it with the $135 filing fee to: Business Division, Secretary of State, State of North Dakota, 600 E. Boulevard Ave., Dept 109, Bismarck, ND 58505-0500. Fax filing is also available, but must include a Credit Card Payment Authorization form.
Annual reports are required on on November 15th the year after the articles of organization are effective. An annual report form will be mailed out to the registered agent.
